Abstract
This paper describes the actual dissociation between ownership and control in public corporations, as well as the problems of rational apathy and managerialism posed by Berle and Means. It underlines the status of stock ownership as residual property, and reviews the legal role of corporate governance codes under the light of the agency theory and the concept of corporate social responsibility.
