Abstract

In a deep financial crisis in Spain, Banco Sabadell was awarded in a competitive bid with the acquisition of Banco CAM for the price of one euro. The President of Banco Sabadell, Josep Oliu announced in the 8 December 2012 press conference that BCAM must be integrated in less than one year, where Banco Sabadell and Banco CAM were similar in size. Banco Sabadell management expected € 331 m in synergies from 2012 to 2014. The case focuses on Miquel Montes, the new CEO in Banco CAM and his team, Federico Rodriguez, new Chief Operations Officers (COO) and Carles Abarca, new Chief Information Officer (CIO). Banco Sabadell had developed a Cloud Computing architecture never tested before in M&A. Although Sabadell management had strong and proven experience in M&As, students need to understand the benefits and risks of Cloud Computing involved in such a large acquisition to develop a sound plan.
